The man was taken to Westmead Hospital but died a short time later.
The man has yet to be formally identified.
It is believed to have been the same man who stabbed a 28-year-old man five minutes earlier at the Auburn train station. Neither of them knows each other.
The younger man was treated by paramedics at the Auburn train station before being transferred to Westmead Hospital in stable condition.
A critical incident team made up of officers from the State Crime Command Homicide Squad will now investigate the circumstances surrounding the incident, including the discharge of a police firearm.
That investigation will be subject to independent review.
